April 2022 Business Law Newsletter

I hope this email finds you and your family in good health.  Winter is at last over. For those into the winter sports I hope it was most enjoyable and for those like me who were able to get away to Florida or other warm places, I hope you too enjoyed your time in the warmth.  Now with April, we can look forward to the Boston Marathon, Patriot’s Day and Red Sox opening day at Fenway, and to the Passover and Easter holidays.  Hopefully too the pandemic will continue to recede – Gosh I hope so! As always, I hope you and your family are staying safe.  This update includes a link to register for tonight’s Boston Entrepreneurs Network (ENET) webinar where I was one of the two co-organizers. This update also includes links to two articles of mine on executive topics, the first, published 8 days ago by Ivy Exec and the second, published a year ago by CEOWorld, a link to slides from a presentation I gave on contracts for early stage company founders, and finally a special offer that you may find valuable. I hope these items might be of some benefit. 😊

1.      Scaling Your Startup When & How:  April 5, 2022 – TONIGHT!

Your startup company in tech, life sciences or business services has successfully launched.  But how do you go to the next level?  How do you establish a business model that can scale?  How    do you implement the scale-up of your business?  How do you scale to a successful exit / liquidity event?  These and other questions on scaling your business will be discussed by three scaling experts and an expert moderator from different fields at the ENET webinar tonight – 4/5/22 at 7pm (the event also offers virtual networking  post webinar 830-9pm), More Details Here

2.      Advantage of RSUs in Your Compensation Package

My article published eight days ago, by the career advancement website Ivy Exec, describes how RSUs (Restricted Stock Units) differ from stock and options, how they are taxed differently, and important situations where  RSUs can offer significant financial advantages over stock options or restricted stock as executive equity compensation to CEOs, C-level and senior executives.   More Details Here

5.       Protecting yourself against Executive Compensation Misalignment

Are you a C-level or a senior executive with performance compensation based on cliff vesting or a double trigger on change of control?   Is your performance opportunity subject to discretionary actions of an owner whose interests might become averse to yours?  That situation – executive compensation misalignment – was the root cause of the biggest scandal in US sports history. Due to that misalignment, star players of the Chicago White Sox fixed the 1919 World Series. That example and others are discussed in my article published by CEOWorld  3/31/2021  to coincide with MLB Opening Day, that occurred (on time) the next week.  I also offer ways for you, as executive, to avoid such harmful misalignment in your own executive compensation negotiations. More Details Here
